1. Introduction

Welcome to Canora Diamonds Inc. ("Canora Diamonds", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website, online store, and any related services through which we sell fine jewellery, loose diamonds (natural and laboratory-grown), gemstones, and combined jewellery-and-diamond products (collectively, "Products") to customers in Canada, the United States, and France.

By placing an order, creating an account, or otherwise using our services, you agree to be bound by these Terms. If you do not agree, you must not use our website or purchase our Products.

2. Eligibility

You must be at least the age of majority in your jurisdiction (18 years or older in most Canadian provinces, the United States, and France) to purchase Products from us. By using our services, you represent that you meet this requirement and that all information you provide is accurate and complete.

3. Products and Descriptions

3.1 Product Range

We sell:

  • Finished fine jewellery (rings, earrings, necklaces, bracelets, and related items);
  • Loose natural diamonds;
  • Loose laboratory-grown (lab-grown) diamonds;
  • Gemstones and coloured stones; and
  • Custom and made-to-order jewellery incorporating diamonds and/or gemstones.

3.2 Accuracy of Information

We make every effort to ensure that product descriptions, images, specifications, diamond grading information, metal types, carat weights, dimensions, and pricing on our website are accurate. However:

  • Natural diamonds and gemstones are unique; slight variations in colour, clarity, cut, and appearance may occur compared to images or descriptions.
  • Screen displays may affect how colours and finishes appear.
  • Product availability is subject to change without notice.

If a Product is materially different from its description, please contact us promptly. Your statutory consumer rights are not affected.

3.3 Diamond and Gemstone Disclosure

All natural diamonds, lab-grown diamonds, and treated gemstones are disclosed in accordance with our Diamond and Jewellery Disclosure Policy and applicable laws in your country of purchase, including FTC Jewelry Guides (USA), Competition Bureau guidance (Canada), and EU/French consumer protection requirements.

3.4 Country of Manufacture

Finished jewellery products are manufactured by our approved partner facilities in India, unless otherwise stated on the product page. Loose diamonds and gemstones may originate from other countries as disclosed in the product listing and accompanying certification documentation.

3.5 Certificates and Grading

Where a grading report or certificate (e.g., GIA, IGI, GCAL, or equivalent) is referenced, the certificate number and laboratory will be provided where available. Certificates accompany the relevant Product where stated at the time of purchase.

4. Pricing and Payment

4.1 Currency and Pricing

Prices are displayed in the currency selected at checkout (CAD, USD, or EUR as applicable to your market). All prices are subject to change without notice until an order is confirmed.

4.2 Taxes and Duties

Canada: Applicable federal GST/HST and provincial sales taxes (where relevant) are calculated and charged at checkout based on the delivery address.

United States: Applicable state and local sales taxes are calculated at checkout where required by law. Import duties generally do not apply to domestic US shipments.

France: Prices for French customers include applicable VAT (TVA) at the prevailing rate (currently 20%) unless otherwise stated. For shipments from outside the EU, import duties and VAT may apply upon delivery in accordance with French customs regulations.

You are responsible for any additional customs duties, import taxes, or brokerage fees not collected at checkout, except where we explicitly state that all-inclusive pricing applies.

4.3 Payment Methods

We accept payment methods displayed at checkout, which may include major credit and debit cards, Shop Pay, and other approved payment providers. Payment must be received in full before we commence production or dispatch of made-to-order items, unless otherwise agreed in writing.

4.4 Order Acceptance

Your order constitutes an offer to purchase. A binding contract is formed only when we send an order confirmation email. We reserve the right to refuse or cancel any order before acceptance, including due to pricing errors, stock unavailability, suspected fraud, or failure to pass identity or payment verification checks.

4.5 Identity Verification

For high-value orders, alternate delivery addresses, or orders flagged for security review, we may request additional identification and proof of address. Orders paid through certain third-party payment methods may be required to ship to the billing address for security reasons.

5. Custom, Bespoke, and Made-to-Order Products

5.1 Production Timelines

Custom, bespoke, and made-to-order jewellery and diamond settings are handcrafted to your specifications. Estimated production and delivery times are provided at checkout or in your order confirmation and are estimates only, not guarantees.

5.2 Design Approval

For bespoke orders, you may be required to approve design renderings, diamond selections, or specifications before production begins. Once approved, changes may not be possible and may incur additional charges.

5.3 Non-Cancelable Orders

Custom, engraved, resized-to-order, and specially sourced items may not be cancelable or returnable once production has commenced, except where required by applicable consumer protection law. See our Returns, Refunds and Exchanges Policy.

6. Shipping and Delivery

Delivery terms are set out in our Shipping and Delivery Policy. Risk of loss passes to you upon delivery to the address specified in your order.

7. Returns, Refunds, and Exchanges

Our Returns, Refunds and Exchanges Policy sets out your rights and our procedures. Statutory rights under Canadian provincial consumer protection laws, US state consumer laws, and French/EU consumer protection legislation (including the 14-day right of withdrawal for distance contracts where applicable) are preserved and are not limited by these Terms where they provide greater protection.

8. Warranty

Our Lifetime Warranty Policy covers manufacturing defects under the terms stated therein. This warranty is in addition to your statutory rights and does not limit them.

9. Ring Sizing and Alterations

We offer complimentary ring resizing within 60 days of delivery for eligible rings, subject to design constraints. Full eternity bands, certain pavé settings, and other designs may not be resizable and may require exchange instead. Resizing outside the complimentary period may incur a fee.

10. Intellectual Property

All content on our website — including text, images, logos, designs, product photography, and graphics — is owned by or licensed to Canora Diamonds Inc. and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

11. User Accounts

If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of any unauthorised use.

12. Prohibited Uses

You agree not to:

  • Use our website for any unlawful purpose;
  • Attempt to gain unauthorised access to our systems or data;
  • Submit false or misleading order or payment information;
  • Resell Products obtained through our website in breach of these Terms or applicable law;
  • Use automated systems to scrape content or place orders without our consent.

13. Limitation of Liability

To the fullest extent permitted by applicable law:

  • We are not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of our website or Products.
  • Our total liability for any claim arising from a Product or these Terms shall not exceed the amount you paid for the relevant Product.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under applicable law.

14. Indemnification

You agree to indemnify and hold harmless Canora Diamonds Inc., its directors, officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms or misuse of our services.

15. Force Majeure

We are not liable for delays or failures in performance resulting from events beyond our reasonable control, including natural disasters, war, terrorism, labour disputes, supply chain disruptions, government actions, pandemics, or failures of carriers or payment processors.

16. Governing Law and Dispute Resolution

16.1 Canadian Customers

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Disputes shall be subject to the exclusive jurisdiction of the courts of Ontario, except where mandatory consumer protection laws in your province of residence provide otherwise.

16.2 United States Customers

For US customers, these Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except where mandatory state consumer protection laws provide greater rights. Any disputes shall be resolved in the state or federal courts located in Delaware, unless mandatory law requires a different forum.

16.3 French and EU Customers

For customers in France, these Terms are governed by French law. You benefit from mandatory provisions of French and EU consumer protection law. In the event of a dispute, you may bring proceedings in the courts of your place of residence in France or use the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

16.4 Mediation (France)

In accordance with French consumer law, we are committed to seeking an amicable resolution before litigation. French consumers may contact us at contact@canoradiamonds.com to attempt resolution. Information on approved consumer mediation services will be provided upon request.

17. Changes to These Terms

We may update these Terms from time to time. The "Last Updated" date at the top will reflect the most recent revision. Material changes will be communicated via our website or by email where appropriate. Continued use of our services after changes constitutes acceptance of the revised Terms.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, Shipping Policy, Returns Policy, Warranty Policy, and any order confirmation, constitute the entire agreement between you and Canora Diamonds Inc. regarding your purchase.
